Read it carefully and ensure that you understand the scope
1. NordicWorkflow ApS commits to handling the Information in such a way that
it remains inaccessible to unauthorized parties, and ensures that there is no
risk of unauthorized individuals gaining knowledge of it.
2. NordicWorkflow ApS is not entitled to use the Information in any way other than what is stipulated.
3. The Company has the right, at any time, to be informed of how NordicWorkflow
ApS protects the information from being accessed by unauthorized parties.
4. NordicWorkflow ApS commits not to share the Information with any of its collaborators, employees, or similar parties beyond what is deemed necessary or reasonable under the circumstances. Before NordicWorkflow ApS discloses the Information to others in such cases, these parties must be instructed on the confidential nature of the information, and they must sign a Non-Disclosure Agreement (NDA). The company must also be informed prior to such a disclosure.
5. NordicWorkflow ApS must obtain the company's written consent before
the information can be shared, in whole or in part, with anyone other than those mentioned in the
above point.
6. NordicWorkflow ApS must maintain a record of employees or others who, in whole or in part,
gain access to information. The record must be available to the company.
7. Unless otherwise agreed in writing, NordicWorkflow ApS must immediately return the materials described in point 1, which include information, data, or other items, at the company´s request.
8. NordicWorkflow ApS
does not have the right to copy any information, data or similar provided by the company in any way without written permission.
9. The collaboration between NordicWorkflow ApS and the company is not of a confidential nature.
However, the identity of the Company's clients must be kept strictly confidential unless
otherwise agreed in writing.
a. Technical or other information that, at the time the company provided
the information to NordicWorkflow ApS, was considered publicly know, or that later
becomes publicly known, without NordicWorkflow being responsible for it.
b. Information that has lawfully come to the attention of NordicWorkflow ApS, either directly
or indirectly, through parties other than the company.
NordicWorkflow ApS is liable for compensation to the Company for any losses resulting from a
breach of this agreement. NordicWorkflow ApS's liability for compensation also applies if the breach
of the agreement is caused by a third party to whom NordicWorkflow ApS has, wholly or partially, entrusted
information.
Any disputes regarding this agreement shall be handled by the ordinary courts in
NordicWorkflow ApS's home country and in accordance with the laws of that country.
